These Terms of Use (the "Terms") are a legal agreement between you and Attyn ("Attyn," "we," "us," or "our"), operating from Chennai, Tamil Nadu, India. They govern your access to and use of:
- https://www.attyn.com and its subdomains;
- the Attyn desktop application;
- Attyn accounts, trials, memberships, one-time licenses, workspaces, and AI credits;
- Attyn agents, workflows, local and cloud model connections, connected tools, downloads, updates, and support; and
- related services that link to these Terms.
Together, these are the "Services."
By creating an account, starting a trial, downloading or installing Attyn, purchasing a plan or product, clicking an acceptance control, or using the Services, you agree to these Terms and acknowledge the Privacy Policy. You agree that this electronic acceptance forms a valid and binding agreement. If you do not agree, do not use the Services.
If you use Attyn for an organisation, you represent that you have authority to bind that organisation. In that case, "you" includes the organisation.
1. What Attyn is
Attyn is local-first AI software that can help you write, dictate, understand screen content, create files, research, schedule work, and use agents and connected tools. Depending on your configuration, Attyn can:
- process chats, memory, files, recordings, and app state on your device;
- use a local AI model;
- call an AI provider using an API key you supply;
- call supported models using Attyn credits;
- read from or act in services you connect, such as email, calendars, and spreadsheets; and
- run scheduled or background work while the application is running.
Attyn is an assistive tool. It is not a human professional, fiduciary, employee, legal representative, or autonomous decision-maker.
2. Eligibility and accounts
You must be at least 18 years old, have reached the age of majority where you live, and be legally able to enter into this agreement. Attyn does not permit an individual account to be created or used by a child. Any future school, family, or organisation-managed use by a person under 18 must be governed by a separate written agreement with Attyn and comply with applicable child-protection and consent requirements.
You agree to:
- provide accurate information;
- keep your device and account secure;
- not share credentials or allow unauthorised access;
- promptly notify us at contact@attyn.com if you suspect unauthorised use; and
- remain responsible for activity under your account and for users you authorise.
Google handles Google sign-in credentials. Attyn does not receive your Google password. Your use of Google and any other identity provider is also subject to that provider's terms.
An individual plan is for one natural person. It may be used for that person's personal or internal business work, but it may not be shared across a team or used to provide access to multiple people. Team use requires a team plan or written agreement with Attyn.
3. Trial and free access
Attyn may offer a five-day trial or other free access described at sign-up. Unless the offer states otherwise:
- no payment card is required to begin the trial;
- the trial includes the features identified at sign-up;
- the trial does not automatically become a paid plan unless you affirmatively purchase one; and
- access may fall back to a limited free tier or end when the trial expires.
We may change or discontinue trial or free offers for new users at any time. We may limit or end a trial if we reasonably believe it is being abused. This does not affect a paid license you have already purchased.
4. License to use Attyn
4.1 General license
Subject to these Terms and your payment of applicable fees, Attyn grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the desktop application and related materials for your internal personal or business purposes. The license may be suspended or terminated only as described in these Terms.
The license permits use of the object-code version of Attyn. It does not transfer ownership of Attyn's software, source code, models, designs, agents, trademarks, documentation, or other intellectual property.
4.2 Membership
An active membership grants access to the Attyn platform and included features during the paid subscription period. Membership renews monthly until cancelled, as described in Section 5.
4.3 "Own Attyn" one-time purchase
A completed "Own Attyn" purchase grants the purchasing user a perpetual license to use the purchased version of the Attyn desktop application and the features identified as included at the time of purchase, without a recurring Attyn platform fee.
"Own" refers to this perpetual software license. It does not mean that you acquire Attyn's intellectual property or source code. It does not include:
- AI-provider usage, Attyn credits, or third-party fees;
- additional workspaces, hardware, consulting, or custom services not listed as included;
- separately sold future products or major product generations; or
- an indefinite guarantee of compatibility, online services, third-party integrations, support, or updates.
We will not convert the purchased perpetual license into a recurring platform charge. Continued operation of network features may depend on account authentication, supported operating systems, third-party services, and legally required security controls.
4.4 Extra workspaces
Every account includes the number of workspaces shown at purchase. An additional workspace purchase adds a separate workspace entitlement to that account. Workspaces are not separate user seats and may not be resold or shared to bypass team licensing.
4.5 Team, custom, and AI Box services
Team deployments, custom agents, consulting, workflow design, hardware, and Attyn AI Box services may be governed by an order form, statement of work, hardware warranty, data-processing agreement, or other additional terms. If those written terms conflict with these Terms, the additional terms control for that service.
5. Prices, billing, cancellation, and credits
5.1 Prices and taxes
Prices, included features, currency, and billing frequency are shown at checkout. Unless stated otherwise, prices exclude taxes, duties, bank charges, internet access, hardware, and third-party AI or connected-service fees. You are responsible for applicable taxes and charges.
We may change prices prospectively. A price change does not alter a completed one-time purchase. For a membership, we will give any notice required by law before a new recurring price takes effect.
5.2 Payment processor
Payments are processed by a third-party payment processor. You authorise us and the processor to charge the payment method you provide for the products, taxes, and recurring amounts shown at checkout. The processor's terms and privacy policy also apply. We do not store your complete card number or security code.
5.3 Automatic renewal and cancellation
A monthly membership and any monthly credit add-on automatically renew each month until cancelled. You authorise recurring charges without further approval for each renewal.
You may cancel through the account or billing controls made available to you, or by contacting payments@attyn.com. Cancellation takes effect at the end of the period already paid for. Platform access may then return to the available free tier. Except where required by law, cancelling does not create a refund for the current billing period.
5.4 AI credits
AI credits are prepaid units that can be used for eligible models and features within Attyn. They:
- are not money, stored value, or a bank deposit;
- have no cash value and cannot be transferred, resold, or redeemed for cash;
- are deducted based on the model, feature, and usage rates shown in the app;
- may be corrected if a technical error causes an incorrect balance; and
- may not be used after the related account is closed, except where law requires otherwise.
One-time credit packs remain usable for 12 months after purchase unless a longer period is shown at checkout or required by law. Monthly add-on credits expire at the end of the applicable monthly period and do not roll over. Promotional or bonus credits may have separate expiry dates and are used before or after paid credits as disclosed in the app.
AI prices, model availability, and credit-consumption rates may change as provider costs change. We will display the applicable rate before or when you use a priced feature. Changes apply prospectively and do not reduce credits already in your balance.
5.5 Refunds and statutory rights
Except as required by applicable law or expressly stated in a written refund policy or at checkout, payments are final and non-refundable once access, credits, downloadable software, or services are delivered. This clause does not limit mandatory consumer rights, including rights and remedies under the Indian Consumer Protection Act, 2019 and applicable rules, or rights relating to deficient services, unfair trade practices, or faulty digital content.
Where the law provides a withdrawal period for digital content or immediate services, we may ask you to consent to immediate supply and acknowledge any effect that has on the withdrawal right.
5.6 Failed payments and chargebacks
If payment fails, we may suspend the related paid entitlement after giving any notice required by law. Before initiating a chargeback, please contact payments@attyn.com so we can try to resolve the issue. Fraudulent or abusive chargebacks may result in suspension and recovery of amounts lawfully owed.
6. AI providers and connected services
6.1 Local models
Local models run on your device or on infrastructure you control. You are responsible for installing, configuring, securing, licensing, and operating those models and for confirming that your device meets their requirements.
6.2 Bring your own key
If you supply an API key, your relationship with that AI provider is direct. You are responsible for the provider's fees, quotas, region, data settings, acceptable-use rules, and terms. Attyn is not responsible for a provider's model output, price changes, suspension, outage, data practices, or continued availability.
6.3 Attyn credits and supported providers
If you use Attyn credits, Attyn routes the request to a supported provider and deducts credits for the usage. Provider availability, speed, context limits, safety systems, and output may vary. We may add, replace, or remove providers or models. If a provider is removed, you may use remaining credits with other eligible models.
6.4 Connected tools
When you connect an account or service, you authorise Attyn to access and act within the permissions you grant. Your use of Gmail, Google Calendar, Google Sheets, and any other connected service remains subject to that service's rules. Attyn is not responsible for third-party outages, account restrictions, deleted data, or changes made by the third party.
You must not use Attyn to access an account, workspace, file, message, recording, or system unless you are authorised to do so.
7. Agent actions, approvals, and your responsibility
Attyn can prepare or, when permitted, perform consequential actions. These may include reading and writing files, inserting text, sending messages, creating or changing calendar events, updating spreadsheets, generating content, running scheduled tasks, or using connected APIs.
Attyn includes permission boundaries and approval gates for protected actions. Some routine actions may be pre-approved or run under settings you choose. These controls reduce risk but cannot eliminate it.
You agree that:
- you will review prompts, drafts, recipients, attachments, dates, amounts, and other material details before approval;
- you are responsible for the instructions, permissions, scopes, schedules, allowed senders, pre-approvals, and autonomy settings you choose;
- an approval or pre-approval is your authorisation for the resulting action;
- you will comply with the rules of each connected service and workplace;
- you will keep appropriate backups of data you cannot afford to lose; and
- you will supervise Attyn appropriately for the sensitivity and consequences of the task.
Do not use Attyn as the sole control for payments, financial transfers, legal filings, medical decisions, safety-critical systems, employment decisions, or other high-impact actions. Use qualified human review and any required professional, compliance, or dual-control process.
8. Voice, meetings, screen content, and other people's data
Microphone, meeting, screen, accessibility, email, calendar, and file features may process personal, confidential, or legally protected information. You are responsible for:
- providing any notice and obtaining any consent required to record, transcribe, monitor, or summarise a meeting or conversation;
- respecting workplace, school, confidentiality, privacy, wiretap, biometric, and recording laws;
- ensuring you have permission to process other people's emails, files, contacts, calendars, images, or personal data; and
- avoiding collection or disclosure beyond what is necessary for the task.
Attyn's consent prompt does not replace your legal obligation to obtain permission from meeting participants or other affected people.
9. Your content and AI output
9.1 Your content
You retain ownership of the prompts, files, recordings, instructions, data, and other material you provide to Attyn ("Input"). You represent that you have all rights and permissions needed to use the Input with the Services.
Attyn does not claim ownership of your local workspace content. When Input passes through an Attyn-operated online service, you grant us a limited, worldwide license to host, reproduce, transmit, and process it only as needed to provide, secure, support, and comply with law in relation to the Services. This license ends when the purpose ends, subject to lawful retention and backups.
9.2 AI output
As between you and Attyn, and to the extent permitted by law, you own the output generated for you ("Output"), excluding Attyn materials, third-party materials, and any rights that cannot legally be assigned. We assign to you any rights we may have in such Output.
AI output may not be unique. Other users may receive similar output, and the Services do not give you rights in their output.
9.3 Accuracy and professional review
AI systems can produce inaccurate, incomplete, biased, outdated, offensive, or fabricated content. Search citations, calculations, code, summaries, translations, and recommended actions may be wrong. You must evaluate Output before relying on it or sharing it.
Output is not legal, medical, financial, tax, employment, accounting, or other professional advice. Obtain qualified advice where appropriate. You remain responsible for decisions and actions based on Output.
9.4 No general model training without opt-in
Attyn will not use your private Input or Output to train a general-purpose AI model unless you give separate, express consent. A third-party provider you select may process content under its own terms and settings.
10. Acceptable use
You must use the Services lawfully and responsibly. You may not use or help others use Attyn to:
- violate law, regulation, sanctions, export controls, court orders, or another person's rights;
- access, monitor, record, scrape, test, or interfere with systems, accounts, communications, or data without authorisation;
- distribute malware, exploit code, spam, phishing, fraud, or deceptive impersonation;
- harass, threaten, exploit, discriminate against, or endanger a person;
- create or distribute unlawful sexual content, child sexual abuse material, or non-consensual intimate imagery;
- facilitate weapons development, violent wrongdoing, human trafficking, or other serious harm;
- make high-impact decisions about employment, credit, housing, education, insurance, healthcare, or legal rights without lawful authority, appropriate safeguards, and meaningful human review;
- infringe intellectual property, privacy, publicity, confidentiality, or contractual rights;
- misrepresent AI-generated content as human-generated where disclosure is required by law or necessary to prevent deception;
- bypass approvals, security controls, usage limits, credit accounting, licenses, or access restrictions;
- reverse engineer, decompile, extract, or discover non-public source code or underlying components, except where the law expressly permits and cannot be waived;
- use the Services to build or train a competing model or service using unauthorised extraction of Attyn materials;
- resell, sublicense, rent, time-share, or provide the Services as a hosted service without written permission; or
- use the Services in a way that could damage, overload, or disrupt Attyn or its providers.
We may investigate suspected violations and suspend or terminate access where reasonably necessary. We may preserve or disclose relevant information when legally required or reasonably necessary to protect users, Attyn, or others.
11. Attyn intellectual property
Attyn and its licensors retain all rights in the Services, including software, agents, workflows, designs, user interfaces, documentation, trademarks, and branding. Except for the license expressly granted in these Terms, no rights are transferred to you.
If Attyn includes open-source components, those components are governed by their applicable open-source licenses. Third-party model names, product names, and trademarks belong to their respective owners.
If you provide feedback, you grant Attyn a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation. This does not give us ownership of your private workspace content.
12. Updates, availability, and beta features
We may improve, update, replace, or discontinue features. Changes may be required for security, law, third-party compatibility, provider availability, or product development.
We do not promise that every feature, model, integration, or operating-system version will remain available indefinitely. We will not remove the core rights of a completed perpetual license merely to convert it into a recurring platform fee, but technical, legal, or third-party changes may affect how particular features operate.
Features labelled beta, preview, experimental, waitlist, planned, "coming soon," or concept may be incomplete, change, or never launch. They are provided for evaluation and are not a binding commitment or delivery deadline.
Unless a separate service-level agreement says otherwise, we do not guarantee uninterrupted or error-free access, response times, data recovery, or support availability.
13. Privacy and security
Our Privacy Policy explains how we handle personal data. You are responsible for securing your device, backups, provider keys, connected accounts, and local workspace data.
No security system is perfect. Do not place information in Attyn or a connected model if the risk is unacceptable for that information, and use local models and appropriate organisational safeguards for sensitive work.
14. Suspension and termination
You may stop using the Services at any time. Cancelling a membership is governed by Section 5. You may request account deletion as described in the Privacy Policy.
We may suspend or terminate access if:
- you materially or repeatedly violate these Terms;
- payment is overdue or reversed;
- your use creates a security, legal, fraud, or harm risk;
- required by law or a provider whose service is necessary; or
- continued provision is no longer reasonably possible.
Where appropriate, we will give notice and an opportunity to cure. We may act immediately when necessary to prevent harm, fraud, unauthorised access, or legal exposure.
Termination ends licenses that are expressly revocable or dependent on an active membership. A paid perpetual license survives unless it was obtained fraudulently, charged back, or terminated for a material breach that cannot reasonably be cured. Sections that by their nature should survive, including payment obligations, ownership, disclaimers, liability, indemnity, dispute terms, and general provisions, will survive.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUT, AND BETA FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ATTYN AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, COMPATIBLE WITH EVERY DEVICE OR SERVICE, OR THAT AI OUTPUT OR AGENT ACTIONS WILL BE ACCURATE, SAFE, LAWFUL, OR SUITABLE FOR YOUR PURPOSE.
Nothing in these Terms excludes a warranty, guarantee, or consumer right that cannot lawfully be excluded.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATTYN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY; COST OF REPLACEMENT SERVICES; OR DAMAGE ARISING FROM AI OUTPUT, AGENT ACTIONS, CONNECTED SERVICES, THIRD-PARTY PROVIDERS, OR LOSS OR CORRUPTION OF DEVICE DATA, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ATTYN AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO ATTYN FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT; OR
- US$100.
These limitations do not apply to liability that cannot lawfully be limited, which may include liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory consumer rights. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.
17. Indemnity
If you use the Services on behalf of a business or for commercial purposes, you will defend, indemnify, and hold harmless Attyn and its affiliates, officers, employees, contractors, licensors, and service providers from third-party claims, losses, liabilities, damages, costs, and reasonable legal fees arising from:
- your Input, connected accounts, or use of the Services;
- an action you instructed, approved, pre-approved, or permitted;
- your violation of these Terms or applicable law; or
- your infringement or violation of another person's rights.
This section does not apply to the extent a claim was caused by Attyn's breach, negligence, or wilful misconduct, or where indemnity is prohibited by consumer law.
18. Governing law and disputes
Before starting formal proceedings, you and Attyn agree to try in good faith to resolve the dispute by sending a written description and requested resolution to contact@attyn.com. We will acknowledge consumer grievances within 48 hours and seek to resolve them within one month, as applicable. This does not prevent either party from seeking urgent injunctive relief or using a consumer commission, small-claims process, regulatory complaint process, or other forum available under mandatory law.
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to mandatory consumer rights and any forum that cannot lawfully be excluded, the courts of competent jurisdiction at Chennai, Tamil Nadu, India will have exclusive jurisdiction.
If you are a consumer, this section does not deprive you of protections or dispute forums that cannot be waived under the law where you live.
19. Changes to these Terms
We may update these Terms to reflect changes to the Services, law, security, or business operations. We will post the revised Terms and update the "Last updated" date. If a material change adversely affects an active paid service, we will provide additional notice where required.
Changes apply prospectively. If you do not agree to a change, you must stop using the affected Services. Changes will not retroactively alter the price or core perpetual-license rights of a completed one-time purchase.
20. General terms
- Additional terms. An order form, data-processing agreement, promotion, affiliate program, beta program, or feature-specific terms may also apply. If they conflict with these Terms, the more specific terms control for that subject.
- Assignment. You may not assign these Terms or transfer an account or license without our written consent. We may assign these Terms as part of a merger, reorganisation, financing, or sale of business or assets.
- No waiver. A failure to enforce a provision is not a waiver.
- Severability. If a provision is unenforceable, it will be limited to the minimum extent necessary, and the remainder will continue in effect.
- No third-party beneficiaries. These Terms do not create rights for anyone other than you and Attyn, except where expressly stated.
- Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control, except payment obligations.
- Entire agreement. These Terms and incorporated additional terms are the complete agreement about the Services and replace prior discussions on that subject.
- Electronic communications. You agree that notices and records may be provided electronically, subject to applicable law.
- Headings. Headings are for convenience only.
